What is Struck off Company?

The Companies Act facilitates two modes of strike-off :

Grounds of Struck off

  • The company hasn’t commenced its business within one year of its incorporation.
  • The company hasn’t been pursuing any business or activity for the preceding two financial years, for which it hasn’t sought the status of Dormant Company under Section 455 of the Act.

MCA Notice on Struck off Company

The Ministry of Corporate Affairs (MCA) has mandated disclosure of transactions with companies struck off by the Registrar of Companies (RoC) under section 248 of The Companies Act, or under section 560 of the Companies Act, 1956. The disclosure is mandatory for financial year 2021-22

Vide this requirement MCA has made it mandatory to disclose the following information:

  • Name of the Struck off Company
  • Nature of Transaction with the Struck-off Company
  • Balance Outstanding and Relationship with Struck-off Company

Nature of transaction that needs to be disclosed:

  • Receivables & Payables
  • Shares held by Struck-off Companies
  • Investment in Securities
  • Other outstanding balances (to be specified)
